Terms of Service

These Terms of Service ("Terms") are an agreement between you and Withly ("Withly", "we", "us"). They govern your access to and use of the Withly website, apps and services (together, the "Service"). Please read them carefully. By using Withly, you agree to them.
1. Accepting these Terms
By creating an account, or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
2. Who can use Withly
You must be at least 16 years old to use Withly. If you use the Service on behalf of an organisation or group, you confirm that you are authorised to accept these Terms on its behalf.
3. Your account
You need an account to use most of Withly. You agree to provide accurate information and to keep it up to date. You are responsible for:
- Keeping your login credentials confidential and your account secure.
- All activity that happens under your account.
- Notifying us promptly at support@withly.app if you suspect any unauthorised use.
4. What you can do with Withly
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service to plan events, invite people, track RSVPs, chat, organise groups, coordinate shared costs, and discover public events.
5. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Break the law, infringe anyone's rights, or violate anyone's privacy.
- Post or share content that is unlawful, harassing, hateful, deceptive, or harmful.
- Send spam, chain messages, or unsolicited invitations.
- Impersonate any person or organisation, or misrepresent your affiliation.
- Upload malware, attempt to gain unauthorised access, probe or disrupt the Service, or circumvent any access controls or rate limits.
- Scrape, harvest, or collect data about other users without their consent.
- Use the Service to organise anything dangerous, illegal, or that we reasonably consider abusive.
Images you upload
Event cover images and profile pictures are shown to other people, and a cover on a public event can be seen by anyone. An image you upload may not contain:
- Sexual content — nudity, sexual acts, or sexualised depictions of any kind.
- Graphic violence — gore, injury, or cruelty to people or animals.
- Hate content — symbols, slogans or imagery attacking a protected group.
- Harassment — imagery targeting a specific person, including someone else's photo used to mock or impersonate them.
- Illegal content — anything unlawful under Netherlands or EU law.
- Spam and commercial abuse — advertising unrelated to the event, QR codes, or links to external offers.
- Other people's personal data — screenshots of private messages, documents, or identity papers.
- Impersonation — a real person's likeness or a brand's marks used to appear to be them.
Uploaded images go live as soon as they finish processing; we do not review them first. We do review them afterwards, and if an image breaches this policy we will remove it. Where the breach is serious or repeated, we may also suspend or terminate the account, as described in section 11.
Reporting and blocking
If something on Withly breaches these Terms, you can report it from the app or the website. Reports go to our team, not to the person you reported, and we do not tell them who reported them. We look at every report, but we decide what action to take, and reporting something is not a guarantee it will be removed.
If you report a chat message, our team reads that message and a few either side of it so it can be judged in context. Nothing else in the conversation is opened, and every such read is logged. See our Privacy Policy for the detail.
You can also block another person. Blocking is private — we never tell the person they have been blocked. While a block is in place they cannot send you friend requests or invitations, and we hide them from you where we can. Blocking is a personal setting, not a report: if someone is breaking these Terms, please report them as well, because a block tells us nothing.
We keep a record of reports, including who filed them and what was said, so that we can act on repeated behaviour. That record is kept even after the reported content is deleted — see our Privacy Policy.
Do not misuse reporting. Filing reports you know to be false, or in a coordinated attempt to have someone removed, is itself a breach of these Terms.
6. Your content
You keep ownership of the content you create on Withly: your events, messages, photos, and other materials ("Your Content"). You grant Withly a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display Your Content solely as needed to operate, provide, secure and improve the Service (for example, showing your event to the people you invite, or displaying a public event on Explore).
You are responsible for Your Content and confirm you have the rights necessary to share it. We may remove content that breaches these Terms.
Review of uploaded images. Members of our team look at images uploaded to Withly to check them against the image policy in section 5. This happens after an image is already visible, not before. If we remove one of your images we will tell you, in the app and by email, and say which clause of the policy it breached. You can upload a replacement at any time.
If you think we got it wrong. A removal notice includes a way to contest the decision, and you have 3 days from that notice to use it. Tell us why and a second person will review it; we will hold the image while they do, and tell you the outcome either way. If your appeal succeeds, the image is restored. After 3 days the image is deleted and the removal can no longer be undone, though you can still write to support@withly.app.
7. Public events and Explore
If you choose to make an event public, its page becomes viewable by anyone who has the link straight away, including its title, description, cover image, category and host. It may then be reviewed and, once approved, shown on Explore and indexed by search engines; we may also decline to list it, or remove it from Explore later, in which case its public page stops being viewable. Do not make an event public unless you are comfortable with it being seen by anyone. You can keep events private at any time.
8. Shared costs
Withly may help you record and divide shared costs for an event. Withly is a coordination tool only. It is not a bank, payment processor, or escrow service, and it does not move, hold, or settle money between users. Any actual payments between you and others are solely your responsibility, and we are not a party to them.
9. Notifications and email
As part of the Service we send transactional messages such as invitations, RSVP updates, event reminders, chat notifications, and account or security emails. These are part of using Withly. You can manage push and in-app notification preferences in your settings.
10. Third-party services
The Service may link to or rely on third-party services. We are not responsible for third-party content or practices, and your use of them is governed by their own terms.
11. Suspension and termination
You may stop using Withly and delete your account at any time, directly from within the app or on the web. Deleting your account deactivates it immediately and permanently anonymises your personal data after a short grace period, as described in our Privacy Policy. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. A suspension may be temporary or permanent, and we will normally tell you the reason. Sections that by their nature should survive termination (for example, content licences already granted, disclaimers, and limitations of liability) will continue to apply.
12. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, and we are not responsible for the conduct of other users or for how any event turns out.
13. Limitation of liability
To the fullest extent permitted by law, Withly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, goodwill, or profits, arising out of or related to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to let you know, for example by updating the date above or notifying you in the app. Your continued use of the Service after the changes take effect means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the Netherlands, without regard to its conflict-of-laws rules, and any disputes will be subject to the exclusive jurisdiction of the competent courts there, except where applicable consumer-protection law gives you the right to bring a claim elsewhere.
